Incorporating a Hong Kong limited company
The one-stop registration, who must be appointed, and the records every company has to keep.
Draft for review by the operating entity's legal adviser before publication.
Registration
- A private company limited by shares is incorporated with the Companies Registry; the business registration with the Inland Revenue Department is applied for at the same time through the one-stop service.
- You need at least one director who is a natural person, a company secretary (a Hong Kong resident or a Hong Kong company), and a registered office address in Hong Kong.
Who may provide these services
- Forming companies, acting as company secretary and providing a registered address as a business are licensed activities under the Anti-Money Laundering and Counter-Terrorist Financing Ordinance (TCSP licence). Ask any provider for their licence number.
Ongoing duties
- Keep a significant controllers register, file an annual return each year, renew the business registration, keep accounting records and have annual accounts audited.
