Filing the annual return (NAR1)

The 42-day window, what the form confirms, and the cost of being late.

Draft for review by the operating entity's legal adviser before publication.

When

  • A private company files its annual return within 42 days after the anniversary of its incorporation date, every year, whether or not anything has changed.
  • Late filing attracts a registration fee that rises in steps the later the filing is, and continued default is an offence.

What it confirms

  • The registered office, directors, company secretary, shareholders and share capital as at the return date. Changes themselves are reported on separate forms when they happen.
